1 Acceptance of Terms

By accessing or using Odyssey Cortex ("the Platform"), operated by Odyssey Capital ("Company", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Platform on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

These Terms constitute a legally binding agreement between you and Odyssey Capital regarding your use of the Platform. We reserve the right to modify these Terms at any time, and your continued use of the Platform following any changes constitutes acceptance of those changes.

2 Definitions

• "Platform" refers to the Odyssey Cortex application, including all its modules, features, APIs, and related services.
• "User" means any individual or entity that accesses or uses the Platform, including administrators and team members.
• "Tenant" refers to the organization or business entity that subscribes to the Platform and manages its users.
• "Content" means all data, text, images, files, communications, and other materials uploaded to, generated by, or processed through the Platform.
• "AI Features" refers to artificial intelligence and machine learning capabilities integrated into the Platform, including but not limited to AI Agents, AI-powered email composition, and predictive analytics.
• "Subscription" means the recurring payment plan selected by the User or Tenant for access to the Platform's features.

3 Account Registration

To use the Platform, you must create an account by providing accurate, current, and complete information during the registration process. You agree to:

• Maintain and promptly update your account information to keep it accurate and complete.
• Maintain the security and confidentiality of your login credentials and not share them with any third party.
• Accept responsibility for all activities that occur under your account, whether or not authorized by you.
• Notify us immediately at security@odyssey-cap.com of any unauthorized use of your account or any other breach of security.

We reserve the right to suspend or terminate accounts that contain inaccurate information, violate these Terms, or have been inactive for an extended period.

4 Description of Services

Odyssey Cortex is an AI-powered CRM and business intelligence platform that provides the following core services:

• Cortex Core: Contact and company management, pipeline tracking, deal management, and relationship intelligence.
• Cortex Reach: Multi-channel outreach via WhatsApp Business API, email campaigns, and voice communications (SIP/VoIP).
• Cortex Compose: AI-powered content generation, email composition, and automated response drafting.
• Cortex Agents: Autonomous AI agents that manage tasks, classify data, and automate business workflows.
• Cortex Voice: Integrated calling features with SIP protocol, call recording, and analytics.
• Analytics & Reporting: Dashboard analytics, performance metrics, and business insights.

We reserve the right to modify, update, or discontinue any feature of the Platform at any time with reasonable notice to affected users.

5 Subscription & Billing

5.1 Plans and Pricing

The Platform offers various subscription tiers including Starter, Pro, Business, and Enterprise plans. Current pricing and feature comparisons are available on our website. Prices are subject to change with 30 days' prior written notice.

5.2 Free Trial

We may offer a free trial period for new users. At the end of the trial, your account will be automatically downgraded unless you subscribe to a paid plan. No charges will be applied without your explicit consent.

5.3 Payment Terms

• All fees are quoted in the currency displayed at the time of purchase and are non-refundable except as required by applicable law.
• Subscriptions are billed on a recurring basis (monthly or annually) depending on the plan selected.
• You authorize us to charge the payment method on file for all applicable fees.
• Late payments may result in suspension or termination of services.

5.4 Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation, your access will continue until the end of the current billing period. No partial refunds are provided for unused portions of a billing cycle.

6 Acceptable Use

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You shall not:

• Use the Platform to send unsolicited messages (spam), including bulk emails, WhatsApp messages, or calls without proper consent from recipients.
• Upload or transmit any malicious code, viruses, or harmful content.
• Attempt to gain unauthorized access to any part of the Platform, other users' accounts, or connected systems.
• Use the Platform to store, process, or transmit content that infringes intellectual property rights of any third party.
• Reverse engineer, decompile, or disassemble any part of the Platform.
• Use the Platform in any way that violates applicable local, national, or international laws and regulations, including but not limited to data protection and privacy laws.
• Exceed the usage limits of your subscription plan, including API rate limits and storage quotas.
• Use AI features to generate misleading, defamatory, or harmful content.

7 Intellectual Property

7.1 Our Rights

The Platform, including all software, design, logos, trademarks, documentation, and proprietary technology, is owned by Odyssey Capital and is protected by intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Platform beyond the limited right to use it in accordance with these Terms.

7.2 Your Content

You retain ownership of all Content that you upload to the Platform. By uploading Content, you grant us a limited, non-exclusive license to process, store, and display your Content solely for the purpose of providing the Platform's services to you.

7.3 Feedback

If you provide suggestions, ideas, or feedback about the Platform, you agree that we may use them without obligation or compensation to you.

8 Data & Privacy

Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal data. By using the Platform, you consent to the practices described in the Privacy Policy.

• We implement industry-standard security measures to protect your data, including encryption in transit and at rest.
• Multi-tenant architecture ensures data isolation between different organizations.
• You are responsible for the accuracy and legality of the data you store on the Platform.
• We will not sell your data to third parties. Data sharing with third-party integrations only occurs at your explicit direction.

9 AI-Powered Features

The Platform includes AI-powered features that use artificial intelligence and machine learning models. By using these features, you acknowledge and agree that:

• AI-generated content and suggestions are provided "as-is" and should be reviewed before use. You are solely responsible for the accuracy and appropriateness of AI-generated outputs.
• AI models may produce inaccurate, incomplete, or biased results. You should not rely solely on AI outputs for critical business decisions.
• Your data may be processed by third-party AI service providers (such as OpenAI, Anthropic, or similar providers) in accordance with their respective terms. We ensure these providers are bound by appropriate data processing agreements.
• AI features may be updated, modified, or discontinued as models and capabilities evolve.
• You shall not use AI features to generate content that violates any law, regulation, or third-party rights.

10 Third-Party Integrations

The Platform integrates with various third-party services, including but not limited to:

• WhatsApp Business API (Meta Platforms)
• Email service providers (IMAP/SMTP)
• VoIP/SIP telephony providers
• AI and language model APIs
• Web scraping and data enrichment services

Your use of third-party integrations is subject to the terms and conditions of those respective services. We are not responsible for the availability, accuracy, or performance of third-party services. You are responsible for complying with the terms of service of any third-party platform that you connect to through the Platform.

11 Disclaimers & Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Platform will be uninterrupted, error-free, or completely secure.
• The results obtained from using the Platform will be accurate or reliable.
• Any defects in the Platform will be corrected within a specific timeframe.
• The Platform will meet your specific requirements or expectations.

12 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ODYSSEY CAPITAL AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, data, or business opportunities.
• Cost of procurement of substitute services.
• Business interruption or downtime.
• Any damages arising from AI-generated content or automated actions.

Our total aggregate liability for all claims arising out of or relating to these Terms or the use of the Platform shall not exceed the total amount of fees paid by you to us during the twelve (12) months immediately preceding the event giving rise to the claim.

13 Indemnification

You agree to indemnify, defend, and hold harmless Odyssey Capital and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Platform or any activity under your account.
• Your violation of these Terms or any applicable law or regulation.
• Your Content or data that you upload, store, or process through the Platform.
• Your use of third-party integrations connected through the Platform.
• Communications sent through the Platform, including emails, WhatsApp messages, and calls.

14 Termination

14.1 By You

You may terminate your account at any time by contacting us or through your account settings. Upon termination, your right to access the Platform will cease immediately.

14.2 By Us

We may suspend or terminate your access to the Platform at any time, with or without cause, with or without notice, including but not limited to the following reasons:

• Violation of these Terms or our Acceptable Use policies.
• Non-payment of applicable fees.
• Fraudulent, abusive, or illegal activity.
• Extended periods of account inactivity.

14.3 Effect of Termination

Upon termination, we will retain your data for a period of 30 days, during which you may request an export of your data. After this period, your data will be permanently deleted from our systems in accordance with our data retention policies.

15 Changes to Terms

We reserve the right to update or modify these Terms at any time. When we make material changes, we will:

• Post the updated Terms on this page with a revised "Last updated" date.
• Notify you via email or through a notice on the Platform for significant changes.
• Provide at least 30 days' notice before material changes take effect.

Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the revised Terms.

16 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Turkey, without regard to its conflict of laws principles. Any disputes arising out of or relating to these Terms or the Platform shall be subject to the exclusive jurisdiction of the courts of Istanbul, Turkey.

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions of these Terms remain in full force and effect.
